Terms of Service

These Terms of Service ("Terms") govern access to and use of the OneWave platform, including app.onewavesystems.com, the OneWave mobile apps, and related services (collectively, the "Service"), provided by OneWave Systems, Inc. ("OneWave," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a clinic or organization ("Clinic"), you represent that you have authority to bind that Clinic, and "you" refers to both you and the Clinic.

1. The Service

OneWave is a software platform that helps sports medicine and performance Clinics manage scheduling, treatment and rehabilitation programs, athlete/patient communication, wellness and performance tracking, and billing. The Service is offered to Clinics on a subscription basis, and Clinics in turn invite their Staff and Patients to use the Service in connection with that Clinic.

2. Eligibility and accounts

  • You must be able to form a binding contract to create a Clinic or Staff account. Patient accounts, including those for minors, are created and managed by a Clinic, typically with parent/guardian involvement as part of the Clinic's intake process.
  • You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate information and keep it up to date.
  • You may sign in using a password or, where enabled, "Sign in with Google." You're responsible for the security of any third-party account used to access the Service.

3. Clinic subscriptions and billing

  • Clinics subscribe to a paid plan to access the Service. Plan pricing, features, and any promotional pricing are described at sign-up and may change with notice.
  • Subscriptions are billed on a recurring basis (e.g., monthly per Clinic) and renew automatically until cancelled.
  • Payments are processed by Square. By providing payment details, you authorize us (via Square) to charge your payment method for applicable fees, including recurring subscription charges.
  • Except as required by law or expressly stated otherwise, fees are non-refundable.
  • If a payment fails or a subscription lapses, we may suspend or limit access to the Service until the account is brought current.
  • Where a Clinic uses the Service to invoice or charge its own Patients (e.g., via Square), the Clinic is solely responsible for the accuracy of those charges and for its relationship with its Patients regarding billing.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Access or attempt to access accounts, data, or systems you're not authorized to access.
  • Upload content that is unlawful, abusive, harassing, defamatory, or that infringes others' rights.
  • Interfere with or disrupt the integrity or performance of the Service, including through reverse engineering, scraping, or introducing malicious code.
  • Use community/social features (e.g., "WaveCommunity") to harass other members, impersonate others, or share another person's health information without authorization.

5. Health information and clinical use

The Service is a tool to help Clinics and Staff document and manage care — it does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional clinical judgment. Clinics and Staff are solely responsible for the clinical decisions they make and the accuracy of the information they record.

If you are experiencing a medical emergency, call your local emergency number immediately. Do not rely on messages, alerts, or any feature of the Service for emergency communication.

Where applicable health-privacy laws apply to a Clinic's use of the Service, OneWave will enter into an appropriate data processing agreement with that Clinic governing the handling of patient health information. Clinics are responsible for their own compliance obligations as healthcare providers, including obtaining any patient consents required to use the Service.

6. Wearable and third-party integrations

The Service can connect to third-party wearable and health platforms (e.g., Apple Health, Health Connect, Whoop, Oura, Fitbit, Garmin, Google Fit) at your option. Your use of those third-party services is governed by their own terms and privacy policies, and OneWave is not responsible for their availability, accuracy, or practices. You can disconnect these integrations at any time.

7. Content and intellectual property

  • You retain ownership of the content you or your Clinic submit to the Service (e.g., notes, programs, messages, profile content) ("User Content").
  • You grant OneWave a worldwide, non-exclusive license to host, store, process, and display User Content solely as needed to provide and improve the Service.
  • OneWave and its licensors retain all rights in the Service itself, including software, design, trademarks, and branding. You may not copy, modify, or create derivative works of the Service except as expressly permitted.

8. Third-party services

The Service relies on third-party providers, including Square (payments), Twilio (SMS), SendGrid (email), Google (sign-in), and analytics/monitoring providers such as PostHog and Sentry. Your use of the Service may be subject to those providers' terms where you interact with them directly (for example, entering payment details into Square's payment form).

9. Suspension and termination

  • You may stop using the Service at any time. A Clinic may cancel its subscription per the cancellation process made available in the Service or by contacting us.
  • We may suspend or terminate access to the Service if you violate these Terms, if required by law, or to protect the security or integrity of the Service.
  • Upon termination of a Clinic's subscription, we may retain Clinic and Patient data for a limited period to allow export or as required by law, after which it may be deleted in accordance with our data retention practices.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEWAVE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU (OR YOUR CLINIC) PAID TO ONEWAVE IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold OneWave harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

13. Governing law and disputes

These Terms are governed by the laws of Canada, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved in the courts located in Canada, unless otherwise required by applicable law.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify Clinics or users through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
